Terms of Service

Welcome to ScheduleLight. By creating an account, accessing, or using ScheduleLight, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

These Terms govern your access to and use of ScheduleLight, including all associated websites, applications, reports, AI features, and services (collectively, the "Service").

By using the Service, you represent that you are authorized to enter into this agreement on behalf of yourself or the organization you represent.

2. Eligibility & Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

You agree to provide accurate information and keep your account information current.

You must promptly notify ScheduleLight of any unauthorized access or suspected security breach involving your account.

3. Subscription Plans & Billing

ScheduleLight offers Free, Essentials, Professional, and Enterprise subscription plans.

Paid subscriptions are billed on a recurring basis through Stripe and automatically renew unless canceled.

Users may upgrade, downgrade, or cancel their subscriptions through the available billing management tools.

Unless otherwise required by law:

  • Subscription fees are non-refundable.
  • Partial billing periods are not prorated or refunded.
  • Users are responsible for any applicable taxes.

ScheduleLight reserves the right to modify pricing or plan features with reasonable notice.

4. Ownership of User Data

Users retain ownership of all schedules, documents, reports, files, updates, and other content uploaded to ScheduleLight.

By using the Service, you grant ScheduleLight a limited license to store, process, transmit, and display your content solely as necessary to provide and improve the Service.

ScheduleLight does not claim ownership of user-generated content.

5. Account Misuse & Fair Use

Users agree to use ScheduleLight in accordance with their selected subscription plan.

The following activities are prohibited:

  • Creating multiple accounts for the purpose of bypassing subscription limitations.
  • Sharing login credentials with unauthorized individuals.
  • Circumventing project, version, user, AI credit, storage, or other plan limitations.
  • Using automated systems to abuse platform resources.
  • Attempting to access or interfere with data belonging to other users or organizations.
  • Reverse engineering, copying, or attempting to replicate ScheduleLight software or proprietary functionality.

Subscription plans are licensed on a per-user and per-organization basis and may not be shared, transferred, or resold without written authorization from ScheduleLight.

ScheduleLight reserves the right to investigate suspected misuse.

If ScheduleLight determines, in its sole discretion, that an account or organization has violated these Terms or attempted to circumvent subscription limitations, ScheduleLight may suspend or terminate access without prior notice and without refund.

ScheduleLight may also suspend or terminate related accounts associated with the same individual, organization, or misuse activity.

6. Acceptable Use

Users may not use ScheduleLight to:

  • Violate any applicable law or regulation.
  • Upload malicious software or harmful content.
  • Interfere with the operation of the Service.
  • Access systems, accounts, or data without authorization.
  • Engage in fraudulent, deceptive, or abusive conduct.

7. AI Features Disclaimer

ScheduleLight may provide artificial intelligence features, including schedule review, schedule generation, activity creation, report generation, recommendations, and other AI- assisted functionality.

AI-generated outputs are provided for informational purposes only.

Users are solely responsible for reviewing, validating, and approving all AI-generated recommendations before use.

ScheduleLight does not guarantee the accuracy, completeness, reliability, or suitability of AI-generated content.

8. Professional Judgment Disclaimer

ScheduleLight provides tools intended to assist professional schedulers, contractors, consultants, owners, and project teams.

Users remain solely responsible for exercising independent professional judgment regarding schedules, updates, delay analyses, recovery plans, claims, change orders, and project management decisions.

The Service is intended to support, not replace, qualified professional decision-making.

9. Scheduling & Delay Liability Disclaimer

ScheduleLight is a scheduling and project controls tool only.

ScheduleLight does not guarantee:

  • Project completion dates.
  • Schedule accuracy.
  • Critical path accuracy.
  • Delay entitlement.
  • Time extension entitlement.
  • Productivity outcomes.
  • Cost performance.
  • Project success.

Users are solely responsible for verifying all schedules, reports, calculations, analyses, logic relationships, constraints, calendars, updates, and project decisions.

10. Service Availability & Data Storage

ScheduleLight strives to provide reliable service but does not guarantee uninterrupted availability.

The Service may experience outages, maintenance periods, delays, interruptions, or data loss.

Users are responsible for maintaining their own backups of important schedules, reports, and project information.

ScheduleLight is not responsible for losses resulting from service interruptions, software defects, third-party outages, or data loss.

11. Intellectual Property

ScheduleLight and all related software, designs, branding, logos, interfaces, reports, AI systems, and proprietary technology are owned by ScheduleLight and protected by applicable intellectual property laws.

These Terms do not grant users any ownership rights in ScheduleLight intellectual property.

12. Termination

ScheduleLight may suspend or terminate access to the Service at any time if:

  • These Terms are violated.
  • Subscription fees are not paid.
  • Fraudulent activity is suspected.
  • Platform misuse is detected.
  • Continued access poses risk to ScheduleLight or its users.

Upon termination, access to the Service may be immediately revoked.

13. Limitation of Liability

To the fullest extent permitted by law, ScheduleLight shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of the Service.

This limitation includes, without limitation:

  • Delay damages.
  • Lost profits.
  • Lost revenue.
  • Lost productivity.
  • Project overruns.
  • Liquidated damages.
  • Lost business opportunities.
  • Loss of data.
  • Claim preparation costs.
  • Dispute or litigation expenses.

14. Liability Cap

To the fullest extent permitted by law, ScheduleLight's total cumulative liability arising from or related to the Service shall not exceed the total amount paid by the customer to ScheduleLight during the twelve (12) months immediately preceding the event giving rise to the claim.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to conflict of law principles.

Any dispute arising under these Terms shall be resolved in the state or federal courts located within Idaho, and the parties consent to the jurisdiction of such courts.

16. Changes to Terms

ScheduleLight may update these Terms from time to time.

Continued use of the Service after revised Terms become effective constitutes acceptance of the updated Terms.
